1. Introduction & Acceptance of Terms
By accessing or using the GovDraft platform (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
GovDraft provides AI-assisted drafting, compliance analysis, and workflow tools to help you organize, prepare, and export government contracting materials. GovDraft is not a law firm and does not provide legal, accounting, procurement, or compliance advice. All outputs must be independently reviewed before submission.
2. Definitions
“Service” means the GovDraft platform, website, APIs, tools, and features.
“Customer Content” means any documents, text, data, uploads, or materials you input into the Service.
“Output” means AI-generated drafts, matrices, summaries, or content produced by the Service.
“Third-Party Services” means platforms such as Google Drive, Dropbox, Microsoft, or others you connect to GovDraft.
3. Accounts & Eligibility
You must be at least 18 and legally capable of entering into contracts. You are responsible for safeguarding your account credentials and for all activity under your account.
4. Plans, Billing & Renewals
GovDraft is offered on a subscription basis.
Fees are billed at the start of each billing cycle. Subscriptions renew automatically unless canceled.
Fees already paid are generally non-refundable, except where required by law or expressly stated in writing.
We may change pricing with notice. Continued use of the Service after notice constitutes acceptance of new pricing.
5. Free Services & Trials
Free features (including the Free Compliance Matrix) may have usage limits, weekly caps, size limits, or reduced access. We may modify or discontinue free features at any time.
6. Acceptable Use
You may not:
- Use the Service for illegal, fraudulent, or harmful purposes.
- Attempt to access systems without authorization.
- Reverse engineer, scrape, or interfere with the Service.
- Use GovDraft to train or develop a competing product.
- Misrepresent AI-generated content as legal or certified advice.
GovDraft may suspend or terminate accounts for violations.
7. Your Content & Ownership
You retain ownership of all Customer Content and Output.
GovDraft does not claim ownership over your materials and does not use Customer Content to train any public or third-party AI models.
You are solely responsible for reviewing and verifying all AI-generated content before use.
8. Data Handling & Security
GovDraft is not a storage repository.
Your source files remain in your linked Google Drive or Dropbox.
We hold a short-lived, encrypted parsing workspace only to generate compliance matrices and drafts. This workspace is cleared on a rolling schedule.
GovDraft stores only minimal metadata needed for functionality (project titles, timestamps, analytics). After cancellation, metadata is deleted in accordance with our Data Retention Policy.
We apply industry-standard security measures, but no system is perfectly secure.
9. Third-Party Services
Integrations such as Google Drive and Dropbox are operated by third parties, not GovDraft. Their availability is not guaranteed, and you are responsible for reviewing their terms and privacy policies.
10. GovDraft Intellectual Property
All platform features, models, prompts, interfaces, designs, and software belong to GovDraft. You receive a limited, non-transferable license to use the Service.
11. Beta Features
Beta or preview features may contain bugs, produce incorrect results, or change without notice. You use Beta features at your own risk.
12. Disclaimers
GovDraft provides the Service “as is” without warranties of any kind.
We do not guarantee accuracy, completeness, or compliance of any Output.
We do not guarantee government contract awards, proposal scores, or successful outcomes.
13. Limitation of Liability
To the maximum extent permitted by law, GovDraft’s total liability is limited to the greater of:
- the amount paid by you in the 12 months before the claim, or
- $100.
GovDraft is not liable for indirect, incidental, special, consequential, or punitive damages.
14. Indemnification
You agree to indemnify, defend, and hold GovDraft harmless from claims arising out of:
- your Customer Content,
- your use of the Service,
- your violation of these Terms.
15. Term & Termination
You may cancel your subscription at any time.
GovDraft may suspend or terminate your access if you violate these Terms or misuse the Service.
Upon termination, your access ends immediately. GovDraft will delete remaining metadata after the retention window expires. Your files remain in your linked Drive/Dropbox.
16. Changes to Terms
We may update these Terms periodically.
If a change materially affects you, we will provide notice. Continued use after notice constitutes acceptance.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware.
Disputes will be resolved in state or federal courts located in Delaware.
